Terms of Use
Version 1.1
Effective date: as displayed in the product when you accept these Terms
1. Agreement
These Terms of Use (the “Terms”) form a binding agreement between you and Opcilo Solutions, a registered trade name of Hoshaimy Technologies Inc., an Alberta corporation with its registered office in Calgary, Alberta, T1Y 5K3, Canada, under Canadian Business Number 793535048 (“Opcilo”, “we”, “us”). They govern access to and use of Opcilo’s websites, applications, APIs, and related services (together, the “Service”).
“You” means the individual who accepts these Terms. If you accept on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes that organization.
By creating an account, confirming your country for legal purposes, or accepting these Terms in the product, you agree to them. If you do not agree, you must not use the Service.
2. The Service
Opcilo enables users to upload or create documents, apply integrity seals, share verification links, and use related workspace features, subject to the plan and account type associated with your workspace (Personal or Organization). Available features, usage limits, and branding options may vary by plan.
3. Eligibility and accounts
You must have legal capacity to enter into these Terms. You agree to provide accurate registration information and to keep your credentials confidential. You are responsible for activity under your account. Organization owners and administrators are responsible for authorizing users and for Customer Content processed in their workspace.
4. Nature of seals and verification
An Opcilo seal is a technical integrity record. It is designed to show that a sealed artifact has not been altered relative to the sealed version and that the seal can be associated with the issuer’s account under Opcilo’s controls.
An Opcilo seal is not:
A verification page helps recipients inspect seal status and related metadata. It may display the seal status, the issuer’s display name or workspace name, a document title or description if you provide one, the creation and seal timestamps, and integrity metadata such as a cryptographic hash. A verification page does not publish the contents of your document unless you separately share the document file or enable public access to it. Recipients, counterparties, and authorities may require additional evidence. You remain solely responsible for the legal effect of any document you seal, share, or rely upon.
5. Customer Content
You retain ownership of documents and other materials you upload or create in the Service (“Customer Content”). You grant Opcilo a non-exclusive, worldwide license to host, process, transmit, display, and generate technical derivatives of Customer Content (including sealed files, previews, and verification pages) solely to operate, secure, support, and improve the Service and to comply with law.
You represent and warrant that you have all rights and permissions needed to submit Customer Content and to share any verification link you create.
6. Confidentiality of documents and verification links
Confidentiality of Customer Content is a shared responsibility.
Opcilo will treat the contents of your Customer Content as confidential and will not access them except as needed to operate, secure, and support the Service, to comply with law, or as you instruct.
7. Acceptable use
You must comply with the Acceptable Use Policy and all applicable laws. You must not misuse the Service, including for fraud, unauthorized access, infringement, unlawful content, or circumvention of security or plan limits.
8. Plans, fees, and billing
Paid subscriptions are offered on the commercial terms presented at purchase or renewal, and are also governed by the Refund and Billing Policy. Unless stated otherwise at purchase, paid plans renew automatically for successive terms until cancelled, and you authorize us or our payment processor to charge the applicable fees for each renewal. You may cancel a renewal before the start of the next term through the product or by contacting support. We may change Free or paid plan features with notice where required by law or by the applicable order. Failure to pay may result in suspension or limitation of paid features. Fees are exclusive of taxes unless stated, and taxes are applied where required.
9. Electronic communications and marketing
By using the Service you agree to receive service-related communications (such as security, billing, and transactional notices) electronically. Marketing communications are sent only where permitted by law or with your consent where required, and you can opt out of marketing at any time using the unsubscribe control or your account settings. Opting out of marketing does not stop service-related communications.
10. Privacy and organizational processing
Opcilo processes personal data as described in the Privacy Policy. Where an Organization uses the Service to process personal data of others, the Data Processing Addendum may also apply.
11. Security
We maintain technical and organizational measures appropriate to the nature of the Service. No system is completely secure. You must apply appropriate access controls, protect verification links and access codes, and notify us promptly at security@opcilo.com of any suspected compromise of your account.
12. Third-party services
The Service may interoperate with third-party identity, payment, messaging, storage, and analytics providers. Your use of those providers is subject to their terms and privacy notices.
13. Intellectual property
Opcilo and its licensors own the Service, software, documentation, and branding. Except for the limited rights expressly granted in these Terms, no intellectual property rights are transferred to you.
14. Intellectual property complaints
If you believe Customer Content shared through the Service infringes your intellectual property rights, you may submit a notice to legal@opcilo.com identifying the work, the material at issue and its location, your contact details, and a good-faith statement. We may remove or disable access to allegedly infringing material, revoke associated seals or links, and terminate repeat infringers. Where applicable law provides a counter-notice process, we will honor it.
15. Export controls and sanctions
You represent that you are not located in, and will not use the Service on behalf of anyone located in, a country or territory subject to comprehensive trade sanctions, and that you are not a person with whom dealings are prohibited under applicable export control or sanctions laws. You must not use the Service in violation of such laws.
16. Disclaimers
To the fullest extent permitted by law, the Service is provided on an “as is” and “as available” basis. Opcilo disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. Opcilo does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
17. Limitation of liability
To the fullest extent permitted by law, Opcilo will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising out of or related to the Service or these Terms, whether in contract, tort, or otherwise.
Opcilo’s aggregate liability arising out of or related to the Service or these Terms will not exceed the amounts you paid to Opcilo for the Service in the twelve (12) months immediately preceding the event giving rise to liability. If you have paid no such amounts, Opcilo’s aggregate liability will not exceed one hundred US dollars (USD 100) or the equivalent in local currency.
Nothing in these Terms excludes liability that cannot be excluded under mandatory law.
18. Indemnity
You will defend, indemnify, and hold harmless Opcilo from and against claims, damages, and expenses (including reasonable legal fees) arising out of Customer Content, your sealing or sharing of documents, or your breach of these Terms, except to the extent caused by Opcilo’s willful misconduct.
19. Suspension and termination
We may suspend or terminate access where reasonably necessary for breach, unpaid fees, legal risk, security, or protection of the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.
20. Changes
We may update these Terms from time to time. Where a change is material, we may require renewed acceptance before you continue using affected parts of the Service, or we may provide notice with a transitional period, as configured when the updated version is published. If you do not agree to an updated version that requires acceptance, you must stop using the Service.
21. Governing law and disputes
Except where mandatory consumer protections or a regional schedule require otherwise, these Terms are governed by the laws of [Governing Law Jurisdiction], without regard to conflict-of-law rules, and the courts of [Governing Law Jurisdiction] will have exclusive jurisdiction. Where you use the Service in a region for which Opcilo publishes a regional schedule (for example, Saudi Arabia, the United Arab Emirates, the European Union or United Kingdom, the United States, or Canada), the governing law, venue, and any mandatory consumer or data-protection rights set out in that schedule apply to the extent required by law and prevail over this section for that subject matter. Nothing in this section deprives you of the protection of non-waivable rights available to you as a consumer in your country of residence.
22. Notices
Legal notices and inquiries may be sent to legal@opcilo.com or through the support or contact channels published on the Opcilo website or in the product.
23. Entire agreement
These Terms, the Privacy Policy, the Acceptable Use Policy, the Refund and Billing Policy, any applicable Data Processing Addendum, and any order form the entire agreement between you and Opcilo regarding the Service and supersede prior conflicting terms on the same subject.
